Terms & Conditions
Comprehensive terms governing all services provided by ANUBX. By accepting our services, you agree to be bound by these terms and all applicable Egyptian law provisions.
General Terms
ANUBX shall provide consulting, engineering, inspection, preservation, and technical services as described in the relevant quotation, proposal, or service order. Services shall be performed at the Client's site, facilities, warehouses, or other agreed locations within Egypt, unless otherwise stated in writing. ANUBX reserves the right to decline services that may expose personnel to unacceptable safety risks.
Service commencement dates and duration shall be agreed upon after formal service order placement and written acknowledgment by ANUBX. ANUBX shall not be liable for delays caused directly or indirectly by site conditions, lack of access, safety restrictions, client readiness, governmental actions, local regulations, or delays arising from force majeure events including wars, pandemics, supply chain disruptions, or circumstances beyond ANUBX's reasonable control.
Payment terms shall be as stated in the quotation or service agreement and, unless otherwise agreed in writing, shall be 100% payable upon completion of the service milestone and issuance of invoice by ANUBX. For long-term or multi-phase consulting projects, milestone-based invoicing may apply as specified in the approved proposal. Invoices are payable within 30 days of issuance unless otherwise specified.
Quoted service fees exclude any direct or indirect taxes, including but not limited to Value Added Tax (VAT - 14% in Egypt), Withholding Tax (WHT), Stamp Duty, or any other applicable governmental charges, unless explicitly stated otherwise. Any applicable taxes shall be added to the invoiced amount in accordance with Egyptian tax regulations and the Egyptian Tax Authority (ETA). Clients claiming tax exemption must provide authenticated supporting documentation prior to service commencement.
Payments shall be made via bank wire transfer unless otherwise agreed. All bank charges, including sender's and receiver's fees, shall be borne by the Client to ensure the full invoiced amount is received by ANUBX. Where service fees are quoted in foreign currency and paid in Egyptian Pounds (EGP), the applicable exchange rate shall be the Central Bank of Egypt (CBE) official selling rate on the transaction date. This quotation is valid for 90 days from the date of issuance unless stated otherwise or withdrawn earlier in writing by ANUBX. After expiry, service rates, availability, and conditions are subject to change. The quotation covers the defined scope of services only. Any additional services, site visits, or extensions beyond the agreed scope shall be subject to separate quotation and approval.
Client's written service order, purchase order, or formal acceptance, along with any required advance payment (if applicable), is mandatory before scheduling or commencement of services. Electronic acceptance via email is permissible and binding.
No cancellation charges shall apply for service cancellations made at least five (5) calendar days prior to the scheduled service start date. Cancellations or rescheduling requests made after this period may be subject to a cancellation or rescheduling fee of up to 15% of the total service value. Cancellations within 48 hours of service commencement may be subject to up to 50% of the service value.
Any additional costs arising from site conditions, access restrictions, safety requirements, waiting time, rework due to client delays, or additional documentation requests not explicitly included in the agreed scope shall be borne by the Client. The Client is responsible for providing safe access to the site, required permits, utilities (if needed), and cooperation of site personnel during service execution. Client shall ensure compliance with all Egyptian labor laws and safety regulations.
Technical reports, assessments, recommendations, and findings provided by ANUBX are based on observations, measurements, and information available at the time of service. Such reports are advisory in nature and do not constitute guarantees of performance or outcomes beyond the defined scope. Reports will be provided in Arabic or English as specified. All technical data and recommendations are subject to change based on updated standards or new information.
All methodologies, tools, templates, calculations, and know-how used or developed by ANUBX during service delivery remain the intellectual property of ANUBX, unless otherwise agreed in writing. Deliverables are intended solely for the Client's internal use for the specified project and may not be reproduced, shared, distributed, or relied upon by third parties without ANUBX's prior written consent. ANUBX retains all copyright and proprietary rights to deliverables unless explicitly transferred in writing.
Legal & Compliance
ANUBX (Anubx for Trading & Investment - LLC) is a Limited Liability Company established under Egyptian law and registered under Investment Law No. 72 of 2017. The company is duly incorporated and authorized to conduct business within the Arab Republic of Egypt. As a Limited Liability Company operating under Investment Law No. 72 of 2017, ANUBX complies with all requirements of the Egyptian General Authority for Investment and Free Zones (GAFEZ). The company maintains compliance with the Unified Investment Code which establishes unified regulations for investment activities in Egypt. ANUBX's business activities are conducted in accordance with all applicable provisions of this law, including but not limited to requirements for corporate governance, financial reporting, and operational transparency.
These Terms & Conditions shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, specifically Egyptian Civil Law (Law No. 131 of 1948 as amended), the Law of Obligations and Contracts, and relevant Egyptian administrative regulations. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the Egyptian courts, specifically the courts of Cairo. The parties waive any objection based on forum non conveniens.
Before initiating legal proceedings, the parties agree to attempt resolution through good faith negotiation for 30 days. If negotiation fails, either party may submit the dispute to arbitration under the Rules of Arbitration of the Egyptian Arbitration Association (EAA) or as per Egyptian Arbitration Law No. 27 of 1994. The arbitration shall be conducted in Arabic or English as mutually agreed. The arbitration award shall be final and binding and enforceable in accordance with Egyptian law.
Both parties agree to maintain strict confidentiality regarding proprietary information, business data, technical specifications, or trade secrets shared during service delivery. ANUBX shall implement reasonable security measures to protect Client data in compliance with Egyptian Data Protection principles and international standards. Client data shall not be shared with third parties without prior written consent, except where required by law. ANUBX shall promptly notify Client of any unauthorized access to data.
ANUBX maintains professional liability insurance and general commercial insurance as appropriate for consulting and technical services. ANUBX personnel comply with all on-site safety regulations, use appropriate personal protective equipment (PPE), and adhere to Client's health and safety policies. ANUBX's total liability under these terms shall not exceed the total service fees paid by the Client during the preceding 12 months. ANUBX shall not be liable for indirect, incidental, consequential, or punitive damages.
ANUBX ensures all personnel engaged in service delivery are covered by mandatory workers' compensation insurance as required by Egyptian Labor Law No. 12 of 2003 and its amendments. All ANUBX employees and engaged personnel comply with Egyptian labor law requirements, including minimum wage standards, working hours, and health and safety regulations. Clients contracting ANUBX services shall ensure their own liability insurance adequately covers third-party claims arising from Client's operations.
ANUBX services comply with all applicable Egyptian environmental regulations, including Environmental Protection Law No. 4 of 1994 and its executive regulations, as well as international environmental standards. All waste materials, chemical products, or hazardous substances related to service delivery shall be disposed of in accordance with Egyptian environmental standards and regulations. Client shall be responsible for arranging proper disposal of hazardous materials generated during service execution, unless otherwise agreed in writing.
Neither party shall be held liable for failure to perform obligations due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, strikes, pandemics, epidemics, supply chain disruptions, governmental actions, or regulatory changes. The affected party shall notify the other within 48 hours of the force majeure event and make reasonable efforts to resume performance. If force majeure prevents performance for more than 60 days, either party may terminate the agreement without liability.
ANUBX complies with all applicable Egyptian regulatory requirements, industry standards, and professional codes of conduct. Client is responsible for obtaining all necessary governmental permits, licenses, and approvals required for service execution at their facilities. ANUBX does not provide legal advice and recommends clients consult with Egyptian legal counsel regarding regulatory compliance specific to their operations.
Either party may terminate this agreement with 15 days written notice if the other party materially breaches these terms and fails to cure the breach within 10 days of notification. Upon termination, Client remains liable for all services rendered up to the termination date, plus any non-cancellable commitments made by ANUBX. Services already commenced shall be billed on a pro-rata basis unless otherwise mutually agreed.
These Terms & Conditions may only be modified or amended by written agreement signed by authorized representatives of both ANUBX and Client. Any verbal agreements or communications do not modify or supersede these written terms. If any provision is found invalid or unenforceable under Egyptian law, the remaining provisions shall continue in full effect.
This quotation, along with the referenced proposal, service order, and these General Terms & Conditions, constitutes the entire agreement between ANUBX and Client regarding the services provided. Any purchase order or contract issued by the Client shall be deemed acceptance of these terms unless expressly rejected in writing within 5 business days. Acceptance of services constitutes acceptance of all terms herein.

Notices by email shall be effective upon receipt; notices by post shall be effective 5 business days after mailing.
ANUBX shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of revenue, or business interruption, arising from the use or inability to use services or deliverables. ANUBX's total aggregate liability shall not exceed the total service fees paid by the Client in the 12 months preceding the claim. Notwithstanding any other provision, ANUBX shall not be liable for claims arising from Client's misuse, modification, or unauthorized application of recommendations.

By placing a service order or accepting services from ANUBX, the Client agrees to be bound by all terms herein and to submit to the exclusive jurisdiction of Egyptian courts.
